In order to use the The Pro Nails International Company Service (as defined below), you must agree to these Terms of Use (“Terms of Use” or “Agreement”). The Terms of Use contain many legal disclosures that you should read carefully, including terms of sale that apply when you buy something through the Site and other terms that specify permissible uses of the Site. We operate this Website, the The Pro Nails International Company Application, the mobile and touch versions of the Website and any individual sites or merchant-specific, city-specific, or other area-specific sites we have now or in the future. The The Pro Nails International Company Application, the Website, and links contained within or otherwise available through external hyperlinks within our Site or the The Pro Nails International Company Application (the "Microsites"), and the The Pro Nails International Company Scheduler will be collectively referred to as the "Site" or “The Pro Nails International Company Service” in these Terms of Use. By accessing the Site or using the The Pro Nails International Company Service or The Pro Nails International Company Scheduler, you ("you" and "your" shall refer to each Merchant (as defined herein) and end user of the The Pro Nails International Company Service; users of the The Pro Nails International Company Service that are not Merchants are referred to as "End User(s)" or "Users") agree that you are authorized to accept the terms set forth below on behalf of yourself and your company and agree to these Terms of Use, our Privacy Policy (published at http://www.thepronails.com/privacy and incorporated here by reference), any Terms and Conditions, and any additional terms applicable to certain programs in which you may elect to participate or with respect to any Microsite, as any of the same may exist from time to time (collectively, the "Terms of Use" or "Agreement"). The term "you" also refers to the person accessing or using the Site or the The Pro Nails International Company Service, or the company or organization on whose behalf that person accesses the Site or the The Pro Nails International Company Service. If you do not agree to be subject to these Terms of Use, do not use the Site. By continuing to use the Site, you agree to be bound by these Terms of Use

1. The The Pro Nails International Company Service. The The Pro Nails International Company Service allows merchants and service providers (collectively, "The Pro Nails International Company Merchant(s)" or “Merchant(s)”) to post availability of their services (“Services”) on the Site. Consumers interested in these services may book appointments for the Services or, for certain Merchants, pay for the Service through the Site (“Order(s)”). The Services will be sold at a price that the Merchant determines, and at their discretion. The Pro Nails International Company also concierges appointments for The Pro Nails International Company users for Services at no cost to the merchant or the The Pro Nails International Company user for merchants that are not The Pro Nails International Company Merchants. The Services are provided by our various Merchants and not by The Pro Nails International Company. The Services that you book through the Site are the responsibility of the Merchant that provides them. The Pro Nails International Company also provides promotion and marketing services on behalf of certain Merchants.

2. Availability of the The Pro Nails International Company Service

You acknowledge that there may be interruptions in service or events that are beyond our control. While we use reasonable efforts to keep the The Pro Nails International Company Service accessible, the The Pro Nails International Company Service may be unavailable from time to time for any reason including, without limitation, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of our control, access to the The Pro Nails International Company Service may be interrupted, suspended or terminated. The Pro Nails International Company retains the right at our sole discretion to deny service, or access to the The Pro Nails International Company Service to anyone or an account, at any time and for any reason.

3. Operation of The Pro Nails International Company Service

We reserve complete and sole discretion with respect to the operation of the The Pro Nails International Company Service. We may, among other things: (a) delete email or private messages if it has not been accessed by an End User within the time established by our policies;(b) make available to third parties information relating to Site and End Users (subject to our Privacy Policy); (c) withdraw, suspend or discontinue any functionality or feature of the The Pro Nails International Company Service; and (d) review uploaded files, conferences, BBSs, forums, chats and User Submissions and authorize restrictions on access thereto.

4. Ownership. Your access to the The Pro Nails International Company Service is licensed and not sold. The content and information on the The Pro Nails International Company Service, as well as the infrastructure used by the Site, and all materials therein or transferred thereby and all intellectual property rights related thereto, are the exclusive property of The Pro Nails International Company . Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such intellectual property rights and you agree not to modify, adapt, edit, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products or services obtained from or through the The Pro Nails International Company Service.

5. Transmission of Information. Because we do not control the security of the Internet or other networks you use to access the The Pro Nails International Company Service or communicate with us, we are not responsible for the security of information that you choose to communicate with The Pro Nails International Company and the The Pro Nails International Company Service while it is being transmitted. In addition, The Pro Nails International Company is not responsible for any data lost during transmission.

6. Your Conduct on Our Site. All interactions with the The Pro Nails International Company Service must be lawful and must comply with these Terms of Use. To the extent your conduct (as judged by us in our sole discretion), restricts or inhibits any other user from using or enjoying any part of the The Pro Nails International Company Service, we may limit your privileges on the The Pro Nails International Company Service and seek other remedies. Please do not engage in the following activities, they are prohibited on the Site and constitute express violations of this Agreement:

Submitting any inaccurate information, committing fraud or falsifying information in connection with your The Pro Nails International Company account

Attempting to, or actually accessing data not intended for you, such as logging into a server or an account which you are not authorized to access;

Attempting to scan, or test the security or configuration of the The Pro Nails International Company Service or to breach security or authentication measures without proper authorization;

Tampering or interfering with the proper functioning of any part, page or area of the The Pro Nails International Company Service and any and all functions and services provided by The Pro Nails International Company ;

Attempting to interfere with service to any user in any manner, including, without limitation, by means of submitting a virus to the The Pro Nails International Company Service, or attempts at overloading, "flooding", "spamming", "mail bombing" or "crashing" the The Pro Nails International Company Service;

Disseminating or transmitting material that, to a reasonable person, may be considered abusive, obscene, pornographic, defamatory, harassing, grossly offensive, vulgar, threatening or malicious;

Disseminating, storing or transmitting files, graphics, software or other material that actually or potentially infringes the copyright, trademark, patent, trade secret or other intellectual property right of any third party;

Using the The Pro Nails International Company Service or any of its contents to advertise or solicit, for any other commercial, political or religious purpose, or to compete, directly or indirectly with The Pro Nails International Company ;

Reselling or repurposing your access to the The Pro Nails International Company Service or any purchases made through the The Pro Nails International Company Service;

Using the The Pro Nails International Company Service or any of its resources to solicit Site End Users, Merchants or other business partners of The Pro Nails International Company to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with The Pro Nails International Company , including without limitation, aggregating current or previously offered service offerings;

Using any End User or Merchant information from the The Pro Nails International Company Service for any commercial purpose, including, but not limited to, marketing;

Exceeding or attempting to exceed quantity limits when purchasing gift cards or otherwise using any The Pro Nails International Company account to purchase vouchers for resale, or for speculative, false, fraudulent or any other purpose not expressly permitted by this Agreement and the terms of a specific offer on the The Pro Nails International Company Service;

Accessing, monitoring or copying any content or information from this Site using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;

Violating the restrictions in any robot exclusion headers or bypassing or circumventing other measures employed to prevent or limit access to the The Pro Nails International Company Service;

Taking any action that places excessive demand on our services, or imposes, or may impose an unreasonable or disproportionately large load on our servers or other portion of our infrastructure (as determined in our sole discretion);

Aggregating any live or post-feature content or other information from the The Pro Nails International Company Service (whether using links or other technical means or physical records associated with purchases made through the The Pro Nails International Company Service) with material from other sites or on a secondary site without our express written permission.

Acting illegally or maliciously against the business interests or reputation of The Pro Nails International Company , our Merchants or our services;

Hyperlinking to the The Pro Nails International Company Service from any other website without our initial and ongoing consent; or Engaging in any other activity deemed by us to be in conflict with the spirit or intent of this Agreement

7. Creating an Account on our Site

7.1 If you create an account for the The Pro Nails International Company Service, you may only create and hold one (1) account that you are solely responsible for managing. Your account is non-transferrable and may not be sold, combined or otherwise shared with any other person. If you violate any of these limitations, we may terminate your account and, without limitation, you may forfeit any pending, current or future promotional account credits and any unredeemed gift cards in your account. If we terminate your account, you may not re-enroll or join under a new account unless if we formally invite you to do so. If you commit fraud or falsify information in connection with your use of the The Pro Nails International Company Service or in connection with your The Pro Nails International Company account, your account will be terminated immediately and we reserve the right to hold you liable for any and all damages caused by your conduct, to pursue legal action through relevant local and national law enforcement authorities and to notify your Internet Service Provider of any fraudulent activity we associate with you or your use of the The Pro Nails International Company Service.

7.2 By creating an account as either an end-user or merchant, you agree to receive communications from or on behalf of The Pro Nails International Company . These communications may include reminders and marketing about the The Pro Nails International Company Service and may be sent as email messages, text messages, SMS messages, push notifications, and phone calls that may be sent using an automatic telephone dialing system. Consent to receive these communications is not required as a condition for the use of the The Pro Nails International Company Service, and may be modified at any time.

8. Information on the Site. We do not control the information provided by End Users and Merchants. You may find other End Users' and Merchants' information to be inaccurate, harmful or offensive. By using the The Pro Nails International Company Service you assume all of the risks associated with the use of the The Pro Nails International Company Service and the Merchants and you agree to accept such risks and agree that The Pro Nails International Company is not responsible for the acts or omissions of any End User or Merchant. Notwithstanding the foregoing, we reserve the right to edit or remove any content placed on the The Pro Nails International Company Service. The Pro Nails International Company does not currently conduct criminal background checks or screenings of its users or Merchants. The Pro Nails International Company does not inquire into the backgrounds of its users or Merchants or attempt to verify the information provided by users or Merchants. The Pro Nails International Company makes no representations or warranties as to the conduct of the users or Merchants of the The Pro Nails International Company Service.

9. Terms of Sale for Orders

9.1 General. By scheduling a Booking, you agree to the terms of the Order and any additional terms or "fine print", regardless of labeling. Fine print includes, but is not limited to, the expiration date, price, discount, and all limitations. Specific state redemption expiration requirements are solely the responsibility of the Merchant, which apply to all Orders. In the event of a conflict between these Terms of Use and a Booking’s fine print, the Booking’s fine print will control. 9.2 Credit Card Charges. When payment for the Merchant’s Service is accepted through the Site, The Pro Nails International Company will charge the user's credit card for the cost of services purchased through the The Pro Nails International Company Site after the appointment for the purchased services. The Pro Nails International Company may also put a hold on the user’s credit card for the cost of the services at the time the appointment is booked through the The Pro Nails International Company Site to ensure that payment can be taken at the appropriate time.

9.3 Orders

Orders you pay for through our Site as a The Pro Nails International Company account holder are for certain Services provided by the Merchant identified in the Order. Orders are not redeemable for cash, unless required by law. Unauthorized reproduction, resale, modification or trade of Orders is prohibited. Some Orders are for appointments set at a certain date and time, known as the "Appointment Time"

The Pro Nails International Company is a service provider for the Merchant identified in the Order and the Merchant is the sole issuer of the Order. At times, you may buy a discounted Order ("Discounted Order(s)") during times specified by a Merchant for a specific Appointment Time or you may purchase full priced Order for products or services at non-discounted times. Discounted Orders can only be used on, and will expire on, the expiration of the specified Appointment Time. You understand and agree that Discounted Orders are not redeemed by their specific Appointment Time for any reason (excluding the cancellation of such Order pursuant to Section 9.7 below) are forfeited and no refund of such Discounted Order will be issued. You must contact the Merchant directly with any questions regarding the expiration of a Discounted Order. Full-priced Orders expire on the date as stated in the confirmation of the Order.

9.4 Bundles and Packages. Merchants may make bundles or packages available in which Users can purchase multiple services or sessions in a single transaction. All sessions of the Service must be booked through the Site. Merchants may set an expiration date for any bundle or package, and any unused package value is lost as of the expiration date.

9.5 Gift Cards. The Pro Nails International Company may sell gift cards for Merchant Services. Gift cards may only be applied to Merchants who accept payment through the Site. Gift cards for a specific service and Merchant may be returned to The Pro Nails International Company for a The Pro Nails International Company gift card of the same value, or if a Merchant goes out of business or is otherwise unable to provide the service, by emailing support [at] The Pro Nails International Company .com. Generic The Pro Nails International Company gift cards are non-refundable as they can be applied to any Merchant who accepts payment through The Pro Nails International Company .

9.6 The Pro Nails International Company Loyalty Program Terms and Conditions. The Pro Nails International Company users earn one (1) Loyalty Credit for every Order that is made on The Pro Nails International Company and honored by a Merchant with which the user has not previously scheduled an Order on The Pro Nails International Company , unless stated, and subject to the conditions below. The Pro Nails International Company Loyalty Credits are only awarded for paid Services, and not for zero priced appointments, free services, or free consultations. After a The Pro Nails International Company user earns three (3) Loyalty Credits, the The Pro Nails International Company user is awarded one (1) The Pro Nails International Company Loyalty Order. A The Pro Nails International Company Loyalty Order is a The Pro Nails International Company Credit up to the amount of Fifty Dollars ($50.00) towards one future Order on The Pro Nails International Company for a Service with a participating Merchant with which the user has not previously scheduled an Order on The Pro Nails International Company . Any unused portion of the The Pro Nails International Company Credit is forfeited (for example, a user who books a $25 manicure does not get to keep the remaining $25). The The Pro Nails International Company Loyalty Order can only be used at a participating The Pro Nails International Company Merchant, and is non-transferable and non-refundable. Only registered The Pro Nails International Company users can participate in the The Pro Nails International Company Loyalty Program. Loyalty Credit is not awarded until the appointment has been completed and fully paid for by the user. The Pro Nails International Company users will not receive any Loyalty Credit when an Order is canceled. The Pro Nails International Company users are solely responsible for any tax liability related to participation in the The Pro Nails International Company Loyalty Program. Inquiries regarding Loyalty Credit assigned to an Order must be submitted via email within 14 days after the Appointment Date in order to be considered for review by The Pro Nails International Company . The Pro Nails International Company reserves the right to terminate the The Pro Nails International Company Loyalty Program, or to change these Terms and Conditions, regulations, or benefits of participation, in whole or in part, at any time with or without notice, even though changes may affect the number of Loyalty Credits already accumulated. The Pro Nails International Company may also withdraw, limit, modify or cancel the number of Loyalty Credits required for reward redemption or change the number or type of reward offered. The Pro Nails International Company will have final decision should any disputes over the The Pro Nails International Company Loyalty Program or the awarding of Loyalty Credits arise.

9.7 Cancellation and Refund Policy

Purchases may be canceled up to the "Cancellation Period" (the advance notice prior to the scheduled appointment time required to effect an appointment cancellation) of the first appointment takes place. If you wish to cancel an Appointment Time, you must do so by using the appointment cancellation feature on the Site or in writing by emailing The Pro Nails International Company at support [at] The Pro Nails International Company .com prior to any Cancellation Period for such Appointment Time. You understand and agree that should you cancel your Appointment Time after the Cancellation Period or if you do not show up for your Appointment Time, you will lose the full value of the Order for the Merchant goods or services to be received.

Merchants set their own cancellation policies, and The Pro Nails International Company must enforce these cancellation policies. It is therefore very important to understand a Merchant’s cancellation policy prior to attempting to cancel an appointment. A full refund may be issued to you upon three events: (a) if you cancel an Appointment Time before the Cancellation Period, (b) if the Merchant cancels your Appointment Time; or (c) if the Merchant refuses to honor any Order at the agreed date and time. If you wish to make a request for a refund, any such request for refund must be made prior to the expiration of the Cancellation Period for the Appointment Time. For each valid refund request, The Pro Nails International Company will refund the amount paid upon request in the original form of payment, or will credit the The Pro Nails International Company account of the purchaser with an equivalent value in The Pro Nails International Company "Credits" for future purchases on the Site. The Pro Nails International Company Credits do not expire.

9.8 Limitation of Liability

(a) Merchant's Liability. You understand and agree that the Merchant listed as the provider of the products or service specified in the Order is (a) solely responsible for redeeming the Order; (b) fully responsible for all products and services it provides to you, and (c) liable for all damages or losses arising out of the goods or services provided.

(b) The Pro Nails International Company 's Liability. You further acknowledge and agree that The Pro Nails International Company is not responsible for (a) any price adjustments made by a merchant related to an Order, or an appointment time or a merchant product or service, and (b) any claims for injuries, illnesses, damages, liabilities and costs ("Liabilities") that you may suffer, directly or indirectly, in full or in part, whether related to an Order or any Services.

(c) General Limitation of Liability. To the fullest extent permitted by law, you agree to and hereby waive and release The Pro Nails International Company and its parent company, subsidiaries, affiliates partners, officers, directors, staff members, stockholders and agents from any liabilities arising from or related to (a) any act or omission of a merchant in connection with an Order or the Services, including a merchant's failure to comply with applicable law and/or failure to abide by the terms of an Order , and/or (b) any Service , any action or inaction by a merchant and/or (c) any indirect, special, punitive, consequential, (including, lost profits or lost data collected through the Services), or incidental damages, whether based on a claim or action of contract, warranty, negligence, strict liability, or other tort, breach of any statutory duty, indemnity or contribution, or otherwise, even if The Pro Nails International Company has been advised of the possibility of such damages. In no event will The Pro Nails International Company 's liability arising out of or related to this agreement exceed the amounts paid by you for the Order or five hundred dollars, whichever is less.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, The Pro Nails International Company ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE The Pro Nails International Company SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE The Pro Nails International Company SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE The Pro Nails International Company SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE The Pro Nails International Company SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE EXCLUSIONS AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

10. The Pro Nails International Company Service Guarantee. For select merchants, The Pro Nails International Company stands behind every service you book on our Website with a service guarantee ("Service Guarantee"). Merchants backed by the Service Guarantee will be designated by a 'The Pro Nails International Company Promise' seal on their profile page. If you are not happy with the service you received from a Merchant backed by the Service Guarantee that you booked on The Pro Nails International Company , The Pro Nails International Company will reimburse the amount you paid through The Pro Nails International Company for the service (see below for additional terms). To request a reimbursement, please contact The Pro Nails International Company either at support [at] The Pro Nails International Company .com. Your request must include your name, Appointment Time, name of the Merchant, and the reason you were not satisfied with the services. This Service Guarantee is subject to the following limitations:

10.1 The Service Guarantee does not apply to any Appointment Time in which you do not show up. Please see The Pro Nails International Company 's "Cancellation and Refund Policy" regarding missed Appointment Times;

10.2 The Service Guarantee applies only to amounts you actually paid (either by cash or credit card) for an Order through The Pro Nails International Company ;

10.3 The Service Guarantee is limited to a reimbursement of up to an aggregate of $1,000.00;

10.4 The Service Guarantee does not apply to any free credits used to pay for an Order, and in lieu of reimbursement, The Pro Nails International Company will credit your account with the same number of free credits you applied to pay for such an Order;

10.5 The Pro Nails International Company reserves the right to modify, suspend or terminate this Service Guarantee, in whole or in part, at any time for claims which The Pro Nails International Company deems spurious at The Pro Nails International Company ’s sole discretion.

10.6 The Pro Nails International Company intends to honor this Service Guarantee for legitimate service lapses during delivery of services purchased through our Website.

11. No Liability for Third Party Websites. We do not have control over websites that The Pro Nails International Company may link to. The Pro Nails International Company may contain links to third-party websites that are not owned, operated, or controlled by The Pro Nails International Company . Therefore, we cannot and do not assume responsibility for the content, privacy policies, or practices of such websites or the companies that own or operate them. Additionally, we cannot and will not censor or edit the content of any third party site. By using The Pro Nails International Company you expressly relieve us from any and all liability arising from your use of any third party website.

12. Intellectual Property

12.1 Ownership

(a) Everything located on or in this Site is the exclusive property of The Pro Nails International Company or is being used with permission. Any copying, distributing, transmitting, posting, linking, deep linking, or otherwise modifying of this Site or Microsites without the express written permission of The Pro Nails International Company is prohibited. Any violation of this requirement may result in a copyright, trademark or other intellectual property right infringement that may subject you to civil and/or criminal penalties.

(b) This Site contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of the Site are protected by copyright as a collective work under the United States copyright laws. The Pro Nails International Company owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. You may download, print, and/or save copyrighted material for your personal use only. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express written permission of The Pro Nails International Company or the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, you will make independent attribution and/or agree to make no changes in or deletion of any author attribution, trademark legend or copyright notice. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material from the Site.

(c) The Pro Nails International Company ®, The Pro Nails International Company SCHEDULER™, and The Pro Nails International Company MARKETPLACE™ are trademarks owned by The Pro Nails International Company . These trademarks, together with other trademarks that are located within or on the Site otherwise owned or operated in conjunction with The Pro Nails International Company shall not be deemed to be in the public domain but rather the exclusive property of The Pro Nails International Company , unless such mark or site is under license from the trademark owner thereof, in which case such license is for the exclusive benefit and use of The Pro Nails International Company unless otherwise stated.

(d) You will not upload, post or otherwise make available on this Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. The Pro Nails International Company does not have any express burden or responsibility to provide you with indications, markings or anything else that may aid you in determining whether the material in question is copyrighted or trademarked. You will be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission.
